In plain words
What is a beneficial ownership declaration?
It tells CIPC who really owns or controls your company: the people behind the shares.
Every company
Every Pty Ltd company and close corporation must file it. Small, one-person companies too.
Every year
It is needed every year with the annual return. It has been the law since May 2023.
No declaration, no annual return
Since July 2024, CIPC only accepts the annual return when the declaration is up to date.
FilingFlowSA helps directors file the beneficial ownership declaration, and the annual return if they need it, through one guided online order. You stay responsible for accurate company information; we make the process easier to complete.
The same two filings
Some accountants charge way too much for this.

Why it matters
Every company must file a beneficial ownership declaration, which tells CIPC who really owns or controls it. It is needed every year with the annual return. CIPC only accepts the annual return when the declaration is up to date, so a missing declaration blocks your yearly filing.
Who it's for
For /07 Pty Ltd companies and /23 close corporations owned by people (not trusts or other companies), with up to ten directors or members. The R1 million yearly sales limit applies only when you add the annual return.
What happens after you choose?
- Add your company details.
- Check your answers, accept the terms and pay.
- The founder checks your information and personally files through CIPC.
Filing is manual. Payment is not CIPC acceptance.

Terms & Conditions
Version 2026-10-v4. Please read before confirming your order.
1. Our service
FilingFlowSA provides administrative filing assistance for South African Pty Ltd companies and close corporations (CCs), registered as a /07 Pty Ltd company or /23 close corporation. The R1 million sales limit applies to annual returns and combined orders, not to orders for the beneficial ownership declaration only. Fixed-price work on the beneficial ownership declaration supports up to ten directors or members and simple ownership by people, with uncertain answers reviewed manually. This is our service scope, not a statement of CIPC law. We do not provide legal, tax or accounting advice.
2. How your filing works
You supply and confirm the normal filing information and documents, accept these terms, and pay the selected price through an available payment method. The founder then personally prepares and files through CIPC. Official status, filing dates, outstanding returns, whether the beneficial ownership declaration is current, route and reporting requirements are checked during manual filing after payment, not as a customer compliance test during intake. A saved intake or payment receipt is not proof of filing or CIPC acceptance.
3. Prices and extra work
The beneficial ownership declaration costs R299, the annual return R349, and both R499 for one entity and a current, on-time filing. These total customer prices include applicable standard CIPC fees. If we find overdue returns or another issue when filing with CIPC, extra charges may apply. We'll contact you and get your approval before doing any extra work or charging more. We will explain the issue, proposed work and additional total before seeking your explicit approval. Acceptance of these terms is not approval of any extra charge. If you do not approve, we will not perform the extra work or charge more. Any late penalties that CIPC charges are for the company's account.
4. Your information and authority
Please provide accurate, complete and current company, person, ownership and financial information, and let us know if it changes. Confirm you have authority to instruct us and lawfully provide other people's information. The intake confirmation allows us to process your request; it is not represented as a legally sufficient CIPC mandate, signature or OTP. Any separate authority or verification required for filing will be obtained before submission. Do not share CIPC passwords or verification codes in the intake.
5. Timing and outcomes
Filing is manual, not immediate or automatic. Timing depends on complete information, required authority and CIPC availability. We will communicate delays and material issues. We cannot guarantee CIPC acceptance or waive statutory obligations. Actual CIPC confirmations are provided once obtained; a saved request is never described as approval.
6. Cancellation, refunds and declined extras
Refunds are handled manually to the original payment method and are recorded only when actually processed. If nothing has been filed, the standard refund is R349 for the annual return, R299 for the beneficial ownership declaration, or R499 for both. If the beneficial ownership declaration in a combined order has been filed but the annual return is blocked or not needed, the standard remaining refund is R200. If an annual-return order needs a missing beneficial ownership declaration, you may explicitly add it for R150, keep the original order on hold, or cancel for the applicable R349 refund before filing. If a director declines to approve, or we cannot get a director's approval within 14 days despite reminders, an administration fee of R250 applies and we refund the balance. An early hold is not an automatic refund. Completed work and genuinely nonrecoverable statutory payments may affect a refund only where permitted by law. Nothing excludes rights under the South African Consumer Protection Act or other applicable law.
7. Privacy and confidentiality
We use information and documents to prepare and file your selected service, communicate with you, keep necessary transaction records and meet legal obligations. Relevant information is shared with CIPC and service providers needed to host the service and process payment. Documents are stored privately, with filing records restricted to admins. Temporary document-access links must not be forwarded. We keep your information for as long as needed to provide the service and meet applicable legal record-keeping requirements. We then securely delete it. You may request access, correction or deletion, subject to lawful recordkeeping requirements. Marketing requires separate consent. We handle personal information in accordance with POPIA.
8. Questions and consumer rights
Use the Contact page to ask questions, raise a complaint, correct information or request a refund. These terms do not limit any non-excludable consumer rights or excuse unlawful conduct. South African law applies, subject to your applicable rights. Changes to these terms do not retrospectively authorise new charges; your accepted version is recorded.
9. Service-provider details
FilingFlowSA is a trading name of Richstone Consulting (Pty) Ltd, registration number 2024/669471/07, 43 Amatola Road, Queenstown, 5319. These terms are not represented as attorney-reviewed.
